1. Definitions
In these Seller Terms & Conditions (the "Agreement"):
- "Marketplace" or "Platform" means the seanoor.market website, mobile applications, APIs and related services operated by Sea Noor United Group.
- "Operator", "we", "us" means Sea Noor United Group, a company organised under the laws of the Sultanate of Oman, Commercial Registration No. [CR Number], having its registered office at [Registered Address], Muscat, Oman.
- "Seller", "you" means the individual, sole proprietor or legal entity offering goods or services through the Marketplace.
- "Buyer" means an end customer who purchases goods or services through the Marketplace.
- "Listing" means a product or service published by the Seller on the Marketplace.
- "Order" means a contract of sale concluded between a Buyer and a Seller through the Marketplace.
- "Commission" means the percentage fee retained by the Operator from the gross order value of each completed Order.
- "Content" means any text, images, descriptions, prices and other material the Seller submits to the Marketplace.
2. Eligibility
2.1 Who may register
You may apply to become a Seller only if you are at least 18 years old and either (a) a legal entity validly incorporated in your jurisdiction, or (b) a sole proprietor or individual entrepreneur authorised to engage in commerce under applicable law.
2.2 Documentation
For Sellers established in the Sultanate of Oman, you must hold a valid Commercial Registration ("CR") issued by the Ministry of Commerce, Industry and Investment Promotion ("MoCIIP") and any sector-specific licences applicable to your goods. Sellers established outside Oman must comply with all import, customs and labelling requirements of the Sultanate of Oman.
2.3 Restricted goods
Goods that are subject to certification, halal status, conformity marking or any other regulatory clearance under Omani law may be listed only after the relevant certificates have been verified by the Operator.
3. Seller Obligations
You agree, at your sole expense and responsibility, to:
- Provide accurate, complete and non-misleading product titles, descriptions, images, prices and stock levels.
- Sell only genuine, lawfully obtained goods and refrain from listing counterfeit, replica or otherwise infringing items.
- Maintain stock levels that match your published inventory; cancel listings that you cannot fulfil.
- Acknowledge each Order within the time stated in your storefront settings and ship within the published handling time.
- Respond to Buyer enquiries and complaints within forty-eight (48) hours.
- Comply with the Consumer Protection Law (Royal Decree 66/2014), the Electronic Transactions Law (Royal Decree 69/2008) and all applicable Omani tax laws, including value-added tax ("VAT") at the rate of five per cent (5%).
- Maintain such commercial insurance as is reasonable for the nature of the goods you handle.
4. Prohibited Items
You may not list or offer for sale through the Marketplace any of the following:
- Religious texts (including the Holy Quran, the Bible, the Torah and any commentary thereon) other than as expressly permitted by the Operator's Religious Content Policy.
- Alcohol, tobacco, e-cigarettes, vaping products, narcotics, psychotropic substances and the precursors thereof.
- Weapons, ammunition, explosives, fireworks and military or police equipment.
- Items that violate Omani public morals, Islamic values or public order, including pornographic or sexually explicit content.
- Counterfeit, replica or otherwise trademark-infringing branded goods.
- Pharmaceuticals, medical devices and food supplements that have not received the approval of the Ministry of Health of Oman.
- Live animals, animal parts, ivory and goods that violate the Animal Welfare Law.
- Any item the sale of which would infringe a third party's intellectual property, publicity or privacy rights.
- Any item prohibited by the laws of the Sultanate of Oman or by the rules of any free zone or customs authority.
The Operator may, in its sole discretion, classify additional categories as prohibited and remove the relevant Listings without prior notice. The list above is illustrative and is not exhaustive.
5. Commission, Fees and Taxes
5.1 Commission
The Operator retains a commission from each successfully completed Order. Default commission rates by category are published in the Seller Dashboard and may be changed in accordance with section 13 below.
5.2 Payment processing
Payment processing fees charged by third-party providers (for example card networks, Thawani or other payment gateways) are passed through to the Seller without markup, unless the Operator expressly states otherwise.
5.3 Optional services
Premium services such as featured placements, sponsored advertising, fulfilment, photography or warehousing are optional and are governed by separate addenda or pricing pages.
5.4 Refunds of commission
Where an Order is cancelled before fulfilment, the corresponding commission is refunded to the Seller. Where an Order has been fulfilled and is later refunded to the Buyer, the commission already retained by the Operator is non-refundable, save where the cause of the refund is the Operator's own breach.
5.5 Taxes
You are solely responsible for the assessment, declaration and payment of any taxes (including VAT) arising from your sales. The Operator may issue invoices on your behalf where required to do so by Omani tax legislation, but this does not transfer the underlying tax liability to the Operator.
6. Payment to the Seller
- Settlement cycle: every fourteen (14) days, by bank transfer to the account registered in your Seller profile.
- Minimum payout threshold: fifty (50) Omani Rial.
- Hold period: seven (7) days following confirmation of delivery, to permit anti-fraud checks and the running of the Buyer's return window.
- Currency of settlement: Omani Rial (OMR).
- Bank charges levied by your own bank are deducted by that bank and are not reimbursed by the Operator.
7. Returns and Refunds
7.1 Statutory return window
Buyers benefit from a return window of fourteen (14) days from the date of delivery, in line with the Consumer Protection Law (Royal Decree 66/2014).
7.2 Cost of return
Where the goods are defective, mis-described or otherwise non-conforming, the Seller bears the cost of return shipping. Where the Buyer returns goods because of a change of mind, the Buyer bears the cost of return shipping.
7.3 Mediation
The Operator mediates disputes between Buyers and Sellers. The Operator's decision in respect of any dispute is binding within the Marketplace, without prejudice to either party's rights under Omani law.
7.4 Refund timing
Refunds are processed within seven (7) business days of receipt of the returned goods.
8. Intellectual Property
8.1 Seller warranty
You represent and warrant that you own or are duly licensed to use all intellectual property comprised in your Listings, including text, images and trade marks, and that your use of such material does not infringe any third-party right.
8.2 Licence to the Operator
You grant the Operator a worldwide, royalty-free, non-exclusive, sub-licensable licence to host, reproduce, adapt, translate, display, market and otherwise use your Listings to the extent necessary to operate, promote and improve the Marketplace.
8.3 Notice and takedown
A rightsholder may submit an infringement notice to sales@seanoor.market. We will review the notice and, where it is sufficiently substantiated, remove the affected Listing within forty-eight (48) hours. Repeat infringers will be terminated.
9. Suspension and Termination
9.1 By the Operator
The Operator may suspend or terminate your account, with or without notice, where:
- you are in material breach of this Agreement;
- you list counterfeit goods;
- there is reasonable evidence of fraud or chargeback abuse;
- your dispatch service-level agreement is breached repeatedly;
- the Operator is required to do so by a court order or competent authority.
9.2 By the Seller
You may close your Seller account at any time from the Seller Dashboard. Outstanding Orders must be fulfilled or refunded before the account can be closed. Outstanding payments are held for ninety (90) days following closure, after which any unclaimed sums are forfeited save as required by law.
10. Limitation of Liability
10.1 Intermediary status
The Operator acts as an intermediary marketplace and is not the seller of record. The Seller alone is responsible for product quality, regulatory compliance, tax obligations and any direct dispute with the Buyer relating to the goods.
10.2 Cap
To the maximum extent permitted by Omani law, the Operator's aggregate liability under or in connection with this Agreement is capped at the total amount of commission earned by the Operator from the Seller during the twelve (12) months immediately preceding the event giving rise to liability.
10.3 Excluded losses
The Operator is not liable for indirect, consequential, special or punitive damages, lost profits, lost data, lost goodwill or business interruption.
11. Indemnification
You agree to defend, indemnify and hold harmless the Operator, its affiliates, officers and employees against any claim, loss, damage, fine, cost or expense (including reasonable legal fees) arising out of:
- alleged infringement of any third-party intellectual property right by your Listings or goods;
- product liability claims relating to your goods;
- failure to comply with applicable tax, customs or consumer-protection law;
- regulatory penalties imposed on the Operator as a result of your conduct.
12. Data Protection
12.1 Use of Buyer data
Personal data of Buyers is shared with you solely for the purpose of fulfilling the corresponding Order. You may not retain Buyer data for longer than is necessary, nor use it for marketing or any other secondary purpose without the Buyer's explicit, informed and freely given consent.
12.2 PDPL compliance
You must comply with the Personal Data Protection Law of Oman (Royal Decree 6/2022 and any successor instrument, including measures taken under Royal Decree 12/2024) when you process personal data received through the Marketplace.
12.3 Breach notification
You must notify the Operator at sales@seanoor.market within twenty-four (24) hours of becoming aware of any actual or suspected breach of personal data received through the Marketplace.
13. Changes to these Terms
The Operator may amend this Agreement from time to time. Material changes will be notified by email at least thirty (30) days before they take effect. Continued use of the Marketplace after the effective date constitutes acceptance of the amended terms. If you do not accept material changes affecting fees or commission, you may close your account, free of penalty, within the same thirty-day period.
14. Dispute Resolution
14.1 Governing law
This Agreement and any dispute arising out of or in connection with it are governed by the laws of the Sultanate of Oman.
14.2 Negotiation
The parties will first attempt in good faith to resolve any dispute by negotiation, for a period of thirty (30) days from the date of written notice.
14.3 Arbitration
Any dispute that cannot be resolved by negotiation will be referred to arbitration at the Oman Commercial Arbitration Centre (OCAC) in Muscat, conducted in Arabic and English, by a sole arbitrator appointed in accordance with the OCAC rules. The decision of the arbitrator is final and binding.
14.4 Class action waiver
To the extent permitted by Omani law, each party waives any right to participate in a class action against the other.
15. Force Majeure
Neither party is liable for any failure or delay in performance attributable to circumstances beyond its reasonable control, including acts of God, war, civil unrest, pandemic, cyber-attack, internet outage, governmental action or restriction, and natural disasters. The affected party must notify the other promptly and use reasonable efforts to mitigate the impact.
16. Entire Agreement
This Agreement, together with the Privacy Policy, the Refund Policy and the Prohibited Items list, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations or agreements relating to its subject matter. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
17. Acceptance
By ticking the "I agree" box at the end of the seller application form, you confirm that you have read, understood and accepted these Seller Terms & Conditions. Your acceptance is recorded together with the document version, the date, your IP address and your user-agent for evidentiary purposes, in accordance with the Operator's audit-trail policy.
